1. Agreement to Terms

By accessing or using the CYDER website (cyderagent.ai) and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and CYDER ("Company," "we," "our," or "us").

2. Description of Services

CYDER provides an AI-powered Security Operations Center (SOC) platform that includes threat detection, investigation, response automation, and compliance management. Our Services include the CYDER platform, website, documentation, support, and related tools.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization. By using our Services, you represent and warrant that you meet these requirements.

4. Account Registration

To access certain features of the Services, you may need to create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your account credentials
  • Promptly update your information if it changes
  • Accept responsibility for all activities that occur under your account

You must immediately notify us of any unauthorized use of your account.

5. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable laws or regulations of the Kingdom of Saudi Arabia
  • Interfere with or disrupt the Services or servers
  • Attempt to gain unauthorized access to any systems or networks
  • Transmit any malware, viruses, or harmful code
  • Use the Services for any illegal, fraudulent, or unauthorized purpose
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Use the Services to compete with CYDER or develop a competing product

6. Intellectual Property

All content, features, and functionality of the Services — including but not limited to text, graphics, logos, icons, software, and the CYDER brand — are owned by CYDER and are protected by Saudi and international copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any part of the Services without our prior written consent.

7. Data Protection

Our collection and use of personal data is governed by our Privacy Policy. By using the Services, you acknowledge that you have read and understood our Privacy Policy. We process all data in accordance with the Saudi Personal Data Protection Law (PDPL).

8. Service Availability

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may temporarily suspend access for maintenance, upgrades, or security reasons. We will make reasonable efforts to provide advance notice of planned downtime.

9. Pricing and Payment

Pricing for our Services is as published on our website or as agreed in a separate written agreement. All prices are in Saudi Riyals (SAR) unless otherwise stated. Payment terms are specified in your service agreement. We reserve the right to modify pricing with 30 days' notice.

10. Free Trials

We may offer free trial periods for certain Services. During the trial, you may access the Services at no charge. We reserve the right to modify or discontinue trials at any time. At the end of the trial period, your access may be suspended unless you subscribe to a paid plan.

11. Limitation of Liability

To the maximum extent permitted by Saudi law, CYDER shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Services, any unauthorized access to or alteration of your data, or any third-party conduct on the Services. Our total liability shall not exceed the amounts paid by you to CYDER in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless CYDER, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Services, your violation of these Terms, or your violation of any rights of another party.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, upon notice to you. You may terminate your account at any time by contacting us. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination will remain in effect.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in Riyadh, Kingdom of Saudi Arabia.

15. Dispute Resolution

Before initiating any legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for a period of thirty (30) days. If the dispute cannot be resolved through negotiation, either party may pursue resolution through the competent courts in Riyadh.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website. Your continued use of the Services after such changes constitutes your acceptance of the modified Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CYDER regarding the Services and supersede all prior agreements and understandings.
